Spoiler alert: Business that existed any time after January 1, 2024, have to comply with the CTA even if they do not exist at the end of 2024. Despite an Alabama case declaring the CTA unconstitutional that is on appeal, there is no nationwide injunction currently, so CTA compliance is still mandatory. Civil fines are still $591/day for any violation of the CTA (failure to file a Beneficial Ownership Information Report (BOIR) or failing to correct an inaccurate BOIR). This CLE will discuss any updates to the CTA reporting requirements as well as the obligations for lawyers forming businesses for their clients after January 1, 2024.
